These terms govern our professional consulting relationship and the Services we provide to you.
Definitions
Company (referred to as “we,” “us,” or “our”) refers to Insight Creative Tech, 711 Signal Mountain RD #315, Chattanooga, TN 37405.
Client (referred to as “you” or “your”) means the individual or entity engaging our Services.
Services refers to website reviews, business process analysis, consulting sessions, reports, recommendations, and related professional advisory services provided by Company.
Deliverables means any reports, documentation, analysis, recommendations, or other work products created for you as part of the Services.
Project means the specific scope of Services agreed upon in a separate statement of work, proposal, or engagement letter.
Scope of Services
We provide professional consulting services including:
- Website audits and analysis
- Business process reviews and optimization recommendations
- Strategic planning and advisory services
- Digital presence assessment
- Operational efficiency analysis
The specific Services for each engagement will be detailed in a separate proposal or statement of work that references these terms.
Payment Terms
Invoice Terms: Payment is due within 15 days of invoice date (Net 15).
Project-Based Work: For fixed-fee Projects, 50% is due upon signing, with the remainder due within 15 days of Deliverable completion.
Hourly Work: Invoiced monthly for time incurred, due within 15 days of invoice date.
Late Payment: Accounts past due may be subject to a service charge of 1.5% per month (18% annually) and suspension of Services until payment is current.
Satisfaction and Refund Policy
Our Commitment: We stand behind the quality of our work and strive for complete Client satisfaction.
Concerns Process: If you have concerns about any Deliverable, please notify us within 14 days of delivery. We will work with you to address issues through revision or additional explanation at no charge.
Partial Refunds: In cases of significant dissatisfaction that cannot be resolved through revision, we may offer a partial refund at our discretion, typically 25-50% of fees paid, depending on work completed and value provided.
No Refunds For:
- Time-based consulting sessions already conducted
- Work where Deliverables have been substantially completed
- Projects terminated by Client after work has commenced
- Dissatisfaction arising from Client's failure to provide necessary information or access
Refund Timeline: Any approved refunds will be processed within 30 days using the original payment method.
Intellectual Property
Your Information: All confidential business information you share remains your property. We will not disclose it to third parties without your consent.
Our Work Product: Deliverables created specifically for your Project become your property upon full payment. However, we retain the right to use general methodologies, processes, and non-confidential insights in future work.
Existing IP: We retain all rights to our proprietary methodologies, tools, and pre-existing intellectual property.
Client Responsibilities
To ensure successful project completion, you agree to:
- Provide timely access to necessary systems, data, and personnel
- Respond to reasonable requests for information within 5 business days
- Designate a primary contact for project communications
- Review and provide feedback on Deliverables within agreed timeframes
Project Changes and Cancellation
Scope Changes: Changes to agreed scope may result in additional fees and timeline adjustments, subject to written approval.
Client Cancellation: You may cancel a Project with 7 days' written notice. You will be billed for all work completed through the cancellation date at our standard hourly rates.
Company Cancellation: We may terminate Services with 14 days' notice if Client fails to provide necessary cooperation or access, or for material breach of these terms.
Limitation of Liability
Professional Services: Our Services consist of professional opinions and recommendations. Implementation remains your responsibility.
Liability Cap: Our total liability for any Project shall not exceed the fees paid for that specific Project.
Consequential Damages: We are not liable for indirect, consequential, or punitive damages arising from our Services.
Confidentiality
We will maintain the confidentiality of your business information and will not use it except as necessary to provide Services. This obligation continues for 3 years after project completion.
Governing Law
These terms are governed by Tennessee law. Any disputes will be resolved in the courts of Hamilton County, Tennessee.
